TERMS AND CONDITIONS OF PARTICIPATION
THE BRIDGE VISION GROUP BUSINESS COMMUNITY

1. INTRODUCTION
These Terms and Conditions govern participation in The Bridge Vision Group business community operated by Serlands Ltd, a company registered in the Republic of Cyprus with registration number HE 453750.
By applying for membership, signing the Services Agreement, paying the applicable Service Fee, accessing BVG services, attending BVG events, using BVG platforms, or participating in BVG activities, the Member agrees to comply with these Terms and Conditions, the Services Agreement, Annex 1, the Code of Conduct, and any other official BVG policies communicated from time to time.
These Terms and Conditions are intended to protect the quality, exclusivity, professionalism, legal integrity, and operational effectiveness of The Bridge Vision Group.
2. DEFINITIONS
For the purposes of these Terms and Conditions:
“BVG” or “The Bridge Vision Group” means the business community operated and administered by Serlands Ltd.
“Member” means the company, business, professional, or individual accepted into The Bridge Vision Group and/or signing the Services Agreement.
“Services Agreement” means the agreement entered into between Serlands Ltd, operating as The Bridge Vision Group, and the Member.
“Annex 1” means the Services Package attached to and forming part of the Services Agreement.
“Services Package” means the services, benefits, access rights, and participation opportunities made available to the Member as described in Annex 1.
“BVG Platforms” means the BVG website, business directory, mobile application, member portal, communication channels, digital platforms, and any other online or offline platform operated by BVG.
“Terms” means these Terms and Conditions.
3. MEMBERSHIP STRUCTURE AND EXCLUSIVITY
The Bridge Vision Group is a private, selective, and structured business community. Membership is subject to approval by BVG and is not automatically granted to every applicant.
BVG may allocate membership seats by profession, sector, city, regional zone, or any other reasonable classification determined by BVG. The purpose of this allocation is to protect the value of the community, avoid over-saturation, and maintain balanced representation across industries and regions.
Membership is granted to the approved Member only. Where the Member is a company or business entity, BVG may require the appointment of an authorized representative for official communication, participation, and administration purposes.
Membership is not transferable without the prior written approval of BVG.
4. MEMBER INFORMATION AND COOPERATION
The Member shall provide all information, materials, approvals, logos, branding assets, employee details, business descriptions, contact details, promotional content, and other documentation reasonably required by BVG to provide the services described in the Services Agreement and Annex 1.
The Member is responsible for ensuring that all information provided to BVG is accurate, complete, lawful, and up to date.
Any delay, omission, inaccuracy, or failure by the Member to provide required information, approvals, or materials may affect the delivery of certain services and shall not constitute a breach by BVG.
5. SERVICE DELIVERY AND OPERATIONAL FLEXIBILITY
BVG shall use reasonable efforts to deliver the services and benefits described in Annex 1 during the applicable membership year.
The Member acknowledges that BVG is a dynamic business community and that services, formats, schedules, venues, delivery methods, event structures, promotional activities, and operational procedures may be modified, enhanced, adjusted, postponed, rescheduled, or replaced where reasonably necessary.
BVG may make such changes where they are made in good faith, in the interest of the community, for operational reasons, due to supplier or venue availability, due to regulatory requirements, or in response to member needs.
BVG’s objective is to maintain or improve the overall value of the membership.
6. NO GUARANTEE OF BUSINESS RESULTS
The Member acknowledges that BVG provides networking, promotional, educational, community, loyalty, social, and business-support services designed to create opportunities for professional and business development.
BVG does not guarantee any specific business outcome, including but not limited to sales, revenue, profitability, referrals, client acquisition, contracts, partnerships, investment opportunities, investment returns, brand growth, attendance levels, website traffic, social media engagement, or any other commercial result.
The value received by each Member may depend on the Member’s own participation, responsiveness, business quality, market conditions, communication, follow-up, and ability to make use of the opportunities provided.
7. SERVICE FEE AND REFUND POLICY
The Service Fee is payable in accordance with the Services Agreement.
Except where expressly stated otherwise in the Services Agreement, all Service Fees paid by the Member are non-refundable.
The Member acknowledges that BVG allocates resources, reserves membership capacity, plans services, and incurs operational commitments based on membership enrolment.
No refund shall be due in relation to non-attendance, non-participation, resignation, cancellation by the Member, failure to use services, change of business circumstances, lack of desired business results, or termination resulting from the Member’s breach of the Services Agreement, these Terms, or the Code of Conduct.
If BVG materially fails to deliver minimum commitments stated in Annex 1, the Member’s rights shall be governed by the Services Agreement and Annex 1.
8. RENEWAL OF MEMBERSHIP
Membership renewal is subject to the renewal terms stated in the Services Agreement and any applicable renewal policy published or communicated by BVG.
BVG may adjust the Service Fee, Services Package, membership benefits, operational rules, and participation conditions for future membership periods.
Renewal information will be communicated through official BVG channels, including the website, email, member portal, or other official communication methods.
Failure to renew within the applicable renewal period may result in loss of membership status and release of the Member’s reserved seat, profession, sector, or regional allocation.
9. BUSINESS NETWORKING PARTICIPATION
BVG networking sessions are structured to support professional introductions, relationship building, collaboration, visibility, and business development.
Attendance, rotation, participant allocation, agenda structure, event format, venue, and scheduling are determined by BVG.
BVG may use internal systems, manual planning, or algorithm-based allocation to organize networking participation.
Members are expected to attend confirmed sessions punctually, participate professionally, respect other Members, and avoid excessive self-promotion, aggressive selling, disruptive conduct, or behavior inconsistent with the purpose of the community.
BVG does not guarantee that any specific Member will meet any specific business, profession, sector, client, supplier, investor, or partner during any networking session.
10. MEMBER-TO-MEMBER TRANSACTIONS
BVG acts solely as a networking, business development, and community platform.
Any transaction, agreement, partnership, referral arrangement, service contract, purchase, sale, investment, or other commercial relationship entered into between Members shall be solely between those Members.
BVG does not guarantee the performance, quality, reliability, financial condition, suitability, conduct, products, or services of any Member.
BVG shall not be liable for any dispute, loss, claim, damage, or disagreement arising from any relationship or transaction between Members.
11. NO PARTNERSHIP OR AGENCY
Membership in BVG does not create any partnership, joint venture, employment relationship, agency relationship, franchise relationship, fiduciary relationship, or legal association between BVG and any Member.
No Member has authority to bind, represent, commit, or act on behalf of BVG unless expressly authorized in writing by BVG.
12. EVENT REGISTRATION AND ATTENDANCE
Certain BVG events may require advance registration.
Participation in events may be subject to capacity limits, venue restrictions, operational requirements, health and safety regulations, ticketing rules, member eligibility, payment of any applicable additional fee, and other reasonable participation conditions determined by BVG.
Where places are limited, BVG may apply first-come-first-served registration, priority allocation, waiting lists, rotational access, or any other fair participation method.
Members are expected to register only for events they genuinely intend to attend. Repeated non-attendance after registration may affect future event priority.
BVG may postpone, cancel, relocate, restructure, or replace an event where reasonably necessary.
13. BUSINESS VISIBILITY AND PROMOTION
BVG may provide visibility and promotional opportunities to Members through the BVG Business Directory, social media, events, podcasts, webinars, articles, newsletters, internal channels, public campaigns, and other communication platforms.
All promotional activity is subject to BVG’s editorial discretion, scheduling, content standards, brand guidelines, member cooperation, legal requirements, and operational capacity.
BVG may refuse, edit, postpone, or remove any content that is inaccurate, unlawful, misleading, offensive, reputationally harmful, inconsistent with BVG standards, or unsuitable for publication.
The Member grants BVG permission to use the Member’s name, logo, business description, images, public information, promotional material, and approved branding assets for the purpose of delivering the Services Package and promoting the Member within or outside the BVG ecosystem.
The Member confirms that it has the right to provide such materials and that their use by BVG will not infringe the rights of any third party.
14. BUSINESS DIRECTORY
The BVG Business Directory is a visibility platform created to present Member businesses to other Members and, where applicable, to the public.
The Member is responsible for ensuring that all directory information is accurate, complete, lawful, and updated when necessary.
BVG may edit formatting, structure, layout, or presentation for consistency and quality.
BVG does not guarantee any particular level of traffic, enquiries, sales, leads, or client acquisition through the Business Directory.
15. LOYALTY CLUB
The BVG Loyalty Club is designed to create exclusive benefits, discounts, offers, and commercial opportunities within the BVG community.
Participation as an offering business is voluntary unless otherwise agreed.
Offers, discounts, and benefits may be subject to specific terms, exclusions, limits, expiry dates, availability, employee eligibility, card verification, app verification, store policy, and any other conditions set by the offering business and/or BVG.
Members and their employees must use Loyalty Club benefits honestly, lawfully, and only in accordance with the applicable offer terms.
BVG may remove, suspend, modify, or decline any offer that is unclear, misleading, expired, impractical, unlawful, or inconsistent with BVG standards.
16. BVG ACADEMY, WEBINARS, CONFERENCES, AND EDUCATIONAL ACTIVITIES
BVG Academy activities, webinars, Tale Talks, conferences, and educational events are designed to provide general business knowledge, professional development, and community engagement.
Educational content is provided for general informational and professional development purposes only. It does not constitute legal, tax, financial, investment, medical, psychological, or other regulated professional advice unless expressly provided by an appropriately licensed professional within the scope of their own professional responsibility.
BVG may adjust topics, speakers, dates, formats, venues, and delivery methods based on member needs, availability, operational requirements, or community priorities.
17. SOCIAL EVENTS
BVG social events are designed to strengthen trust, community engagement, and relationships among Members.
Participation may be subject to registration, capacity, venue rules, guest policies, health and safety requirements, additional fees where applicable, and BVG operational procedures.
BVG may determine whether guests, spouses, partners, employees, or family members may attend specific events.
Members and guests attending BVG events must behave respectfully and responsibly and must not damage the reputation, property, safety, or enjoyment of the community.
18. INTERNAL SUPPORT SYSTEM
The Internal Support System is a community-based support mechanism intended to assist Members facing serious business challenges or urgent situations.
This system is not a guaranteed emergency service, consultancy service, legal service, medical service, financial service, or crisis-management service.
BVG will use reasonable efforts to connect the Member with relevant professionals, Members, or contacts where appropriate, but BVG does not guarantee that a solution will be found or that any third party will be available or able to assist.
19. INVESTMENT INITIATIVES PROGRAM
The BVG Investment Initiatives Program is a future members-only initiative intended to provide eligible Members with access to potential investment opportunities when launched.
Nothing in these Terms, Annex 1, the Services Agreement, BVG communications, or any BVG event constitutes investment advice, financial advice, a financial promotion, a public offer, an invitation to invest, or a guarantee of investment return.
Any future investment opportunity shall be subject to applicable legal, regulatory, platform, onboarding, compliance, suitability, risk-disclosure, and documentation requirements.
Participation in any investment opportunity shall be optional. Members shall be responsible for making their own independent decision and obtaining their own legal, financial, tax, and investment advice.
BVG shall not be responsible for any investment decision made by a Member, business owner, employee, or related person.
20. CONFIDENTIALITY
Members must maintain strict confidentiality regarding non-public information shared within BVG, including business strategies, commercial information, member discussions, internal communications, private opportunities, investment-related information, personal information, and any sensitive information disclosed during BVG activities.
Members must not disclose confidential information to third parties without prior written consent from the information owner and/or BVG where applicable.
Confidentiality obligations apply during membership and continue after membership ends.
21. INTELLECTUAL PROPERTY
Members must respect the intellectual property rights of BVG and other Members.
BVG names, logos, branding, designs, documents, systems, materials, website content, event formats, service structures, and other proprietary materials may not be copied, reproduced, modified, distributed, used, or represented without prior written approval from BVG.
Members may refer to themselves as Members of The Bridge Vision Group only during an active membership period and only in a manner that is accurate, professional, and consistent with BVG guidelines.
22. CODE OF CONDUCT
Members must comply with the BVG Code of Conduct.
Members must act professionally, respectfully, ethically, and in good faith in all interactions connected with BVG.
BVG may take disciplinary action where a Member engages in misconduct, harassment, intimidation, discrimination, abusive behavior, illegal conduct, reputational harm, repeated disruption, misuse of BVG platforms, breach of confidentiality, misuse of member information, or conduct inconsistent with BVG values.
23. PROHIBITED CONDUCT
Members must not:
a. use BVG to promote illegal activity;
b. misuse member data or contact information;
c. harass, pressure, threaten, or abuse other Members;
d. make false, misleading, or defamatory statements;
e. use BVG platforms for spam or aggressive sales activity;
f. disclose confidential information;
g. damage BVG’s reputation;
h. misrepresent their membership status;
i. use BVG branding without permission;
j. act in a way that undermines the safety, trust, or integrity of the community.
24. SUSPENSION AND TERMINATION
BVG may suspend, restrict, or terminate a Member’s access to services, events, platforms, and membership benefits where the Member breaches the Services Agreement, these Terms, the Code of Conduct, payment obligations, confidentiality obligations, or any other official BVG policy.
Depending on the seriousness of the breach, BVG may issue a warning, request corrective action, suspend access, restrict participation, or terminate membership immediately.
Where membership is terminated due to breach, misconduct, non-payment, or violation of BVG policies, no refund shall be due.
25. PERSONAL DATA AND COMMUNICATIONS
BVG may collect and process Member information for membership administration, service delivery, communication, event management, promotion, directory listing, loyalty card administration, and other legitimate purposes connected with membership.
Members may receive official communications through email, telephone, website, member portal, app notifications, or other BVG communication channels.
Members are responsible for keeping their contact details up to date.
BVG shall process personal data in accordance with applicable data protection laws and its Privacy Policy.
26. LIMITATION OF LIABILITY
To the maximum extent permitted by law, BVG shall not be liable for any indirect, consequential, incidental, special, punitive, or economic loss arising from membership participation, including but not limited to loss of profit, loss of revenue, loss of business opportunity, loss of contracts, loss of goodwill, loss of anticipated savings, or loss arising from the actions of other Members.
BVG's total liability arising out of or in connection with membership, participation in BVG activities, use of BVG services, attendance at BVG events, or use of BVG platforms shall not exceed the Service Fee paid by the Member for the applicable Membership Year.
27. FORCE MAJEURE
BVG shall not be liable for any delay, failure, cancellation, postponement, or modification of services, events, activities, or obligations caused by circumstances beyond its reasonable control, including but not limited to natural disasters, fire, flood, epidemic, pandemic, government action, regulatory restriction, war, terrorism, civil unrest, labour dispute, utility failure, transportation disruption, venue unavailability, supplier failure, serious illness, technical failure, or any other event outside BVG’s reasonable control.
Where such an event occurs, BVG shall use reasonable efforts to minimize disruption and, where appropriate, reschedule, replace, or modify the affected service or activity.
28. AMENDMENTS TO TERMS
BVG may amend these Terms from time to time to reflect operational changes, service developments, legal requirements, regulatory requirements, member needs, or community standards.
Updated Terms will be published on the BVG website or communicated through official BVG channels.
Continued membership, access to services, participation in events, or use of BVG platforms after publication or communication of updated Terms shall constitute acceptance of the updated Terms.
29. ORDER OF PRECEDENCE
In the event of any conflict or inconsistency between these Terms and Conditions, the Services Agreement, and Annex 1, the Services Agreement shall prevail in relation to the legal relationship between BVG and the Member, Annex 1 shall prevail in relation to the specific Services Package and minimum service commitments, and these Terms and Conditions shall prevail in relation to operational rules, participation rules, platform use, event procedures, community conduct, and service administration.
30. GOVERNING LAW
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Cyprus.
31. FINAL ACKNOWLEDGEMENT
By joining, renewing, accessing services, attending events, using BVG platforms, or participating in BVG activities, the Member confirms that it has read, understood, and accepted these Terms and Conditions and agrees to comply with them throughout the membership period.
